Acceptance of Terms

These Terms of Service constitutes a contract between Quartermaster Inc. (“Quartermaster,” or “we”) and you, with respect to your use of all properties and all products and services available from Quartermaster (collectively, the “Service”). The Service is offered through Quartermaster’s online platform (the “Platform”). Read the Terms of Service carefully.

By registering or otherwise using our Service, through the Platform or otherwise, you shall be deemed to confirm your acceptance of these Terms of Service and your agreement to be a party to this binding contract. Likewise, by using the Service you acknowledge, accept and agree with all the provisions of our Privacy Policy, which are incorporated into these Terms of Service by reference and deemed to be a part of these Terms of Service. Your continued use of the Service indicates your acceptance of the Terms of Service and that you intend to be legally bound by them. If you do not agree to be bound by these Terms of Service, you should not use the Service.

Changes to Terms

These Terms of Service will be updated from time to time at the sole discretion of Quartermaster, any updated Terms of Service will be displayed on the Platform and by continuing to use the Service you accept and agree to these changes. We encourage you to look at the Terms of Service from time to time. If you consider future amendments made to these Terms of Service to be unacceptable, please do not continue to use the Service.

Permissible Use

Subject to the terms and conditions set forth in these Terms of Service, we hereby grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for your personal, non-commercial and informational use only.

By using the Service, you represent and warrant that: (i) you are eighteen (18) years or older and at least the age of majority in the jurisdiction where you reside, and are otherwise legally capable of entering into binding contracts; and (ii) you have the right, authority and capacity to enter into these Terms of Service and to abide by the terms and conditions of these Terms of Service. Where you enter into these Terms of Service on behalf of a company or other organization, you represent and warrant that you have authority to act on behalf of that entity and to bind that entity to these Terms of Service.

Access to the Service

Quartermaster reserves the right to alter or withdraw the Service at its sole discretion without notice. We will not be liable for any outages or period of time of Service unavailability. We may restrict access to some or all parts of the Service at our sole discretion.

You agree not to distribute or make available any content found on our Service without our prior written authorization, unless such act is done through sharing functionalities offered by our Service. You are expressly forbidden to make money off of our Service unless you have received prior written permission from us. You agree not to access content through any technology or means other than through our Service or otherwise authorized by us.

User Account

To access the Service, users are required to create a user name, password, and provide any other information as required for security and validation purposes.

Users of the Service are responsible for maintaining the integrity of their password secrecy and maintaining sole access to their own accounts within the Service. Any unauthorized access of a user’s account should be reported to Quartermaster by email at privacy@quartermaster.house, or through the Quartermaster help function on the Platform.

We reserve the right to close your account at any time for any or no reason. In some cases, users may be required to follow additional verification procedures for access to the Service. In creating your Quartermaster account, we ask that you provide accurate information about yourself to bring credibility to your contributions on the Service. You may not impersonate any other person. For more information on authenticity, please reference our Community Guidelines.

Property Verification and Requirements

a) Minimum of One Residential Address

The Service networks people, information, goods, and services through property profiles and geographic proximity. Residential users are required to be party to at least one residential property account on the Platform which they are legitimately associated with in order to access and participate in the Service. Residential users are legitimately associated with properties if they are owners, tenants, members to the household, residents of the property in other capacities, an invited guest of the rightful residents, or otherwise associated in a property management role with both the property and the rightful residents of the property (“Residential Users”).

b) Accuracy of Information

Users are responsible for correctly representing their true associations with businesses, people and properties on the Service. Residential Users are required to provide the correct address of the property or properties which they intend to use the Service for. In some cases, Residential Users will be required to follow verification procedures for property account setup and access. Businesses or professionals providing services or products (collectively “Pros”) are required to provide correct contact information and information regarding their business or the services to be provided.

c) Address Claims and Conflict Resolution

Quartermaster is not responsible for any conflicting claims on a particular property, address or account. Quartermaster may, in its sole discretion, initiate conflict resolution procedures in any cases where multiple conflicting claims exist on a particular property, address or account. Conflicts may be resolved through independent confirmations by Quartermaster and/or additional verification procedures.

d) Rights to Property Account Access

Property addresses cannot be duplicated on the Service. All residential users with legitimate associations to residential properties can rightfully access the property details associated with such address. This does not require sharing of personal information. Privacy is maintained through the visibility parameters controlled by each user. Users associated with the same property may have completely private information within those accounts sharing only access to components that would be considered fixed to the property or subject to an owner / lease arrangement.

Intellectual Property Rights

The Quartermaster Service, its contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by Quartermaster, its licensors or other providers of such material and are protected by Canada, United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

No right, title or interest in or to the Service or any content on the site is transferred to you, and all rights not expressly granted are reserved by Quartermaster. Any use of the Service not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark and other laws.

Content

a) Your Content

The Service requires users to upload and input personal information, client information, financial information. You are solely responsible for your use of the Service and for any and all data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively “User Content”) you post to the Service.

b) Your Responsibility to Your Content

You assume any risk associated with your User Content, including another user’s reliance on its accuracy or reliability. You represent that you own, or have the necessary permissions to use and authorize the use of your User Content as described herein. You may expose yourself to liability if, for example, your User Content contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation.

c) Our Rights

We reserve the right to remove, screen, edit, or reinstate any User Content from time to time at our sole discretion for any reason or no reason, and without notice to you. User access to all or part of the Service may be terminated for any or no reason, including without limitation, any violation of these Terms of Service

d) Our Use of Your Content

Quartermaster claims no intellectual property rights over the User Content.

We may use your User Content in many different ways. This includes publicly displaying it, reformatting it, incorporating it into advertisements, and distributing it. You hereby irrevocably grant us royalty-free, perpetual, irrevocable, non-exclusive, world-wide right and license rights to use your User Content for any purpose, and you hereby represent and warrant to Quartermaster that you have all the rights, licenses, authorizations necessary to grant such license, thereby irrevocably granting the users of the Service and any third party publicly accessing the Service, right to access your User Content in connection with their use of the Service.

e) Use of Feedback

In the event that you provide us with any ideas, thoughts, criticisms, suggested improvements or other feedback (“Feedback”), you agree that we may use the Feedback to modify our Service and that you will not be entitled to any compensation, including without limitation any royalty related to the product or service that incorporates your Feedback. You grant to Quartermaster a worldwide, royalty-free, fully paid, perpetual, irrevocable license (with the right to sublicense) to use, copy, reproduce, adapt, modify, translate, publish, transmit, display, distribute and otherwise exploit such Feedback in any and all media or distribution methods, whether now known or hereafter developed. You represent and warrant to Quartermaster that you have all the rights, power and authority necessary to grant the above license.

f) Disclosure of Information by Law

Quartermaster will disclose user identities when required to do so by applicable law, including in response to a law enforcement request supported by a valid court order.

User Pro Agreements

For purposes of these Terms of Service, the services provided by Pros ("Pro Services") to the requesting Residential User (“Customer”) that are scheduled through the Service shall be referred to as the "Requests.” Requests specifically do not comprise “Excluded Requests” (being particular jobs deemed ineligible for scheduling or performing through the Service due to applicable licensing/permitting regulations and other similar requirements, as further defined below). Quartermaster reserves the right to alter, modify and remove Requests.

Currently, Pros on the Platform are not required to be licensed or to have a background check completed. Accordingly, Customers must determine for themselves whether a Pro is qualified to perform their Request. Requests ordered through the Platform may include delivery, installation, and/or assembly of furniture or other items obtained from a third party (“Merchandise”). Quartermaster does not provide and is not responsible for Merchandise, and does not itself provide the services offered by any Pro.

ANY DECISION BY RESIDENTIAL USERS TO OFFER OR ACCEPT PRO SERVICES THROUGH THE PLATFORM IS A DECISION MADE IN SUCH RESIDENTIAL USER'S SOLE DISCRETION. IT IS ENTIRELY UP TO THE CUSTOMER TO EVALUATE THE PRO AND THE PRO’S QUALIFICATIONS, AND UP TO THE PRO TO EVALUATE THE JOB ORDERED. EACH PRO SERVICE PROVIDED TO A CUSTOMER SHALL CONSTITUTE A SEPARATE AGREEMENT BETWEEN THAT PRO AND CUSTOMER. PROS ARE INDEPENDENT CONTRACTORS AND NOT EMPLOYEES OR SUBCONTRACTORS OF QUARTERMASTER. QUARTERMASTER MAKES NO REPRESENTATION OR WARRANTY, AND IS NOT RESPONSIBLE FOR, THE PERFORMANCE OF ANY PROS OR USERS, NOR DOES IT HAVE CONTROL OVER OR MAKE REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, TIMING, LEGALITY, FAILURE TO PROVIDE, OR ANY OTHER ASPECT WHATSOEVER RELATING TO ANY PRO SERVICES. QUARTERMASTER HAS NO RESPONSIBILITY OR LIABILITY FOR ANY PRO SERVICES PROVIDED TO CUSTOMERS BY PROS, INCLUDING, BUT NOT LIMITED TO, A WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR COMPLIANCE WITH ANY LAW, REGULATION OR CODE. EXCEPT AS OTHERWISE SET FORTH HEREIN, QUARTERMASTER IS NOT AFFILIATED WITH, ENDORSED OR SPONSORED BY ANY PRO.

YOU ACKNOWLEDGE AND AGREE THAT QUARTERMASTER IS NOT LIABLE FOR DAMAGE THAT MIGHT ARISE OUT OF THE PRO SERVICES. QUARTERMASTER IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER INCLUDING PROS, AND WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH ANY PRO SERVICES. Each User should exercise caution and common sense to protect their personal safety and property, just as you would when interacting with any person with whom you do not know.

a) Excluded Requests

Users hereby agree not to schedule or perform any of the following as Requests through the Platform (collectively, the "Excluded Requests"):

Requests that are professional services, including, but not limited to, services performed by lawyers, actuaries, accountants, architects, engineers, health professionals, medical professionals, financial advisers, management consultants, or investment advisors;
Services related to childcare (e.g., babysitting), eldercare or lifeguarding services;
Services that make the user unsafe or uncomfortable;
Services that involve the transportation of and ridesharing among our Users in any type of motor vehicle, aircraft or water craft; or
Any service that is illegal or criminal in nature in the state or locality in which it is posted or takes place.

PAYMENTS AND BILLING

Customers contract directly with the Pros for certain products and Pro Services. Quartermaster is not a party to any contract conducted through the Platform. The Platform provides a transaction platform where Customers can connect and communicate with Pros, request and schedule Pro Services, and make payments for products and Pro Services (“Payments”). Customers may have to pay in advance for the Pro Services they request through the Platform. The Customer hereby authorizes Quartermaster to pre-authorize and/or charge the Customer’s credit card the following amounts upon confirmation of a Request for Pro Services or products by the Customer (collectively, included as “Payments”):

(1) the total amount agreed upon (which may include, without limitation, fees, expenses and taxes) for the applicable products or Pro Services by the applicable Pro on the Platform; (2) the Trust and Support Fee (as defined in 3(e) below); and (3) any cancellation fees, damage deposits or other fees contemplated in these Terms of Service. Quartermaster shall not be responsible or liable for any errors or omissions in the calculation of any Payments or any other amounts payable between the Pros and the Customer. It is the responsibility of the Pros and the Customer to review all Payments and any other amounts payable to ensure they are accurate.

We may use third party service providers to process Payments and any such Payments are governed by such third-party’s terms and conditions. For example, payment processing services may be provided by Stripe and to such extent are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms of Service or continuing to use the Platform or Service, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Quartermaster enabling payment processing services through Stripe, you agree to provide Quartermaster accurate and complete information about you and your business, and you authorize Quartermaster to share it and transaction information related to your use of the payment processing services provided by Stripe.

All Payments for the products and Pro Services must be made through the Platform and Customers will not circumvent the Platform by contacting other users for Pro Services apart from the Platform. While we will use commercially reasonable efforts to ensure the security of all credit card and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties, and you agree to hold us harmless for any damages that may result therefrom. Additionally, we disclaim any liability arising from the actions or omissions of any third-party processor including, without limitation, Stripe. The Customers and Pros are responsible for complying with all applicable laws and any obligations, including tax obligations, in the course of their engagements relating to products or Pro Services. You agree to indemnify and hold harmless Quartermaster (and its affiliates and their directors, officers, employees and contractors) from any and all claims, demands and liabilities relating to your obligations, including tax obligations, arising from any applicable products or Pro Services. The Customer and the Pro each acknowledge and agree that Quartermaster is not responsible for compliance with any applicable construction holdback requirements or other determining the timing or release of any payments, and the Pro shall be solely responsible for all such requirements.

Prohibited Uses

Users may access the Service only for lawful purposes and in accordance with these Terms of Service.

Violation of Applicable Laws

You agree not to use the Service in any way that violates any applicable federal, provincial, state, local and international law or regulation (including, without limitation, any laws regarding the export of data or software to and from Canada, the United States of America or other countries).

Unauthorized Advertising or Solicitation

You agree not to use the Service to transmit, or procure the sending of, any mass advertising or direct solicitation material outside of the permitted communication and marketing methods as directed on the Platform.

Impersonation of People or Companies

You agree not to use the Service to impersonate or attempt to impersonate Quartermaster or a Quartermaster employee, another user, or another person or entity (including, without limitation, the use of email addresses or screen names associated with or confusingly similar to any of the foregoing).

Destructive or Disruptive Use

You agree not to use the Service in any manner that could disable, overburden, damage or impair the Service, or interfere with any other party’s use of the Service, including their ability to engage in real time activities on the Service. Additionally you agree not to introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

Unauthorized Use

You agree not to use any manual process to monitor or copy any of the material on the Service for any other unauthorized purpose without the prior written consent of Quartermaster. Additionally you agree to not attempt unauthorized access to the Service or the servers related to the Service, or any computer or database connected with the Service.

No Reverse Engineering

You may not reverse engineer, decompile or disassemble the Services (except to the extent specifically permitted by applicable law).

No Automated Queries

You may not use automated web queries (including, without limitation, screen and database scraping, spiders, robots, crawlers and any other automated activity in connection with the Service); provided, however, that general purposes internet search engines and non-commercial public archives that use tools to gather information for the sole purpose of displaying hyperlinks to the Services are granted a limited exception from the foregoing exclusion, provided that they do so from a stable IP address or range of IP addresses using an easily-identifiable agent.

No Improper Uses

You may not use, or attempt to use, the Services through any means not explicitly and intentionally made available, provided or intended with respect to the Service. You may not harvest information about users of the Service for any purpose. You may not use the Service in any manner that could damage, disable, overburden, or impair the Service or that harms Quartermaster, its service providers, suppliers, or any other person.

No Endorsements: Quartermaster does not provide advice or endorsements. Products and Pro Services endorsed on the Platform are done so through the initiative of individual users at their sole discretion. We do not support, endorse, recommend or approve any offering of services or products as part of the Quartermaster Service. Reference to any products, services or other information by trademark, manufacturer, supplier, or otherwise does not constitute or imply an endorsement, sponsorship or recommendation by Quartermaster. All trademarks, product names, and logos appearing on the platform are property of their respective owners.

Third Party Materials

The Service may contain links to third party websites, advertisements, services, offers, activities or other content (collectively, “Third Party Materials”). These Third Party Materials are not owned or controlled by Quartermaster. These Third Party Materials are provided for your reference and convenience only, and do not imply any endorsement, sponsorship or recommendation by Quartermaster.

Reliance on Information and Documentation Posted

The Service is made available solely for general information purposes. Quartermaster does not warrant the accuracy, completeness, or usefulness of the Service, including without limitation any information or any templates, contracts or other documentation ("Documentation") posted on the Platform or provided through the Service, irrespective of whether Quartermaster, a user, or a Third Party provided such information or Documentation. Without limiting the foregoing, users acknowledge that they are solely responsible for determining whether any Documentation is suitable for their particular purpose and whether such Documentation includes terms which are appropriate to the users’ particular circumstances, whether prepopulated or otherwise, including without limitation all amounts and calculations within the Documentation such as fees for service, additional fees or levies, tax rates or tax amounts.. Any reliance users place on such information or Documentation is strictly at the user’s own risk. Quartermaster disclaims all liability and responsibility arising from any reliance placed on the Service, including without limitation reliance on any information or Documentation obtained through the Service.

Disclaimer of Warranties, Limitations of Liability, and Indemnification

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. IN PARTICULAR, YOU ACKNOWLEDGE (I) THAT TECHNICAL SUPPORT IS ONLY PROVIDED AND ONLY AVAILABLE VIA EMAIL, IN ENGLISH AND QUARTERMASTER RESERVES THE RIGHT TO DISCONTINUE SUPPORT AT ANY TIME; (II) THAT QUARTERMASTER USES THIRD PARTY VENDORS AND SERVICE PROVIDERS IN THE PROVISION OF THE SERVICE; (III)THAT THE TECHNICAL PROCESSING AND TRANSMISSION OF THE SERVICE, INCLUDING USER CONTENT, MAY BE TRANSFERRED UNENCRYPTED AND INVOLVE (A) TRANSMISSIONS OVER VARIOUS NETWORKS; AND (B) CHANGES TO CONFORM AND ADAPT TO TECHNICAL REQUIREMENTS OF CONNECTING NETWORKS OR DEVICES.

THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, QUARTERMASTER DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR OTHERWISE INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (I) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SOFTWARE, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

THE LIABILITY OF QUARTERMASTER WITH RESPECT TO ANY AND ALL CLAIMS, WHETHER ARISING UNDER WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL BE LIMITED TO THE DIRECT AND ACTUAL MONETARY DAMAGES INCURRED, PROVIDED THAT IN NO EVENT SHALL THE AGGREGATE LIABILITY OF QUARTERMASTER EXCEED THE GREATER OF FIFTY CANADIAN DOLLARS (CDN $50.00) OR THE FEES PAID BY YOU TO QUARTERMASTER INC., IF ANY, IN THE SIX MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM FOR THE SERVICES GIVING RISE TO THE CLAIM. YOU EXPRESSLY UNDERSTAND AND AGREE THAT QUARTERMASTER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF QUARTERMASTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), HOWSOEVER ARISING, INCLUDING WITHOUT LIMITATION RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, DOCUMENTATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO THE OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE.

YOU ACKNOWLEDGE THAT YOU HAVE ONLY A LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE LICENSE TO USE THE SERVICE. BECAUSE THE SERVICE IS NOT COMPLETE AND IS NOT ERROR OR BUG FREE, YOU AGREE THAT YOU WILL USE IT CAREFULLY AND AVOID USING IT IN WAYS WHICH MIGHT RESULT IN ANY LOSS OF YOUR OR ANY THIRD PARTY’S PROPERTY OR INFORMATION.

You agree to defend, indemnify and hold harmless Quartermaster and respective officers, directors, employees, contractors, agents, licensors and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable legal fees) resulting from your violation of these Terms of Service or your use of the Service, including without limitation, any use of the Service’s content, services and products other than as expressly authorized in these Terms of Service or your use of any information or Documentation obtained from the Service.

Dispute Resolution

You agree to contact Quartermaster to attempt in good faith to resolve, informally, any dispute you may have regarding the Service by reporting the dispute, within one (1) year of the act giving rise to the claim, by email to Quartermaster at support@quartermaster.house. You agree that if the dispute cannot be informally resolved within ninety (90) days of your submission, you will resolve any claims through final and binding arbitration ("Arbitration").

You agree any dispute, controversy or claim arising out of or relating to this Agreement including any question regarding its existence, interpretation, validity, breach or termination or the business relationship created by it shall be referred to and finally resolved by arbitration under the Canadian Arbitration Association Arbitration Rules. The place of the arbitration shall be Toronto, Ontario, Canada. The language of the arbitration shall be English.

You agree that you may only resolve disputes with Quartermaster on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, purported class, consolidated, or representative action. You further agree that, by entering into these terms, you and Quartermaster each agree that all claims and disputes shall be resolved under these Terms of Service. You further waive any constitutional or statutory right to go to court and have a trial in front of a judge or jury on an individual, class action, or representative action basis. In the event any litigation should arise between you and Quartermaster, in any jurisdiction, in a suit to vacate or enforce an Arbitration award or otherwise, you and Quartermaster waive all rights to a jury trial, instead electing that the dispute be resolved by a judge, and agree to take any and all action necessary or appropriate to effect such waiver.

Geographic Restrictions

We make no claims that the Service or any of its content is accessible or appropriate outside of these jurisdictions. Access to the Service may not be legal by certain persons or in certain countries. If you access the Service from outside of Canada and the United States you do so on your own initiative are responsible for compliance with local laws.

Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of, or related to, the Service (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the Province of Ontario without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action or proceeding arising out of, or related to, these Terms of Service or the Service shall be instituted exclusively in the federal courts of Canada or the courts of the province of Ontario. You waive any and all objections to the exercise of jurisdiction over other courts and to venue in such courts.

General

a) Waiver and Severability

A failure by Quartermaster to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service and Privacy Policy constitutes the entire agreement between you and Quartermaster and governs your use of the Service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service). If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

c) Force Majeure
